The Audit Committee of Merisel, Inc. has implemented a third party hotline to accommodate complaints and concerns about the Company’s accounting, internal controls and auditing matters. All concerns can be submitted anonymously either online or through a toll-free number. All reports are submitted to an independent third party hotline service, which will interview the reporter and deliver a written report directly to all members of the Audit Committee. If the complaint pertains to accounting, internal controls or auditing matters, the Audit Committee will undertake an investigation of the complaint and make recommendations to management regarding corrective action that should be taken.
